Ms. deMartino's primary practice
is in the areas of corporate and business law, estate planning, probate
and conservatorship.
Over the past 19 years, she has gained extensive experience in
forming corporations (both for profit and non-profit), limited
liability companies (LLC's), and partnerships, and in advising
businesses on personnel, corporate formalities, contracts, and
other on-going business issues as they arise, as well as assisting
the business owner and others with estate planning, including
drafting wills and irrevocable and revocable living trusts. She
has experience handling both litigated and non-litigated probate,
trust and conservatorship cases. Her business
representation
covers such things as corporate,
LLC, closely held corporations, or partnership formation, fictitious
business statements (DBA), record keeping and minutes, mergers
and acquisitions, sales and transfers of business stock or assets;
corporate buy and sell agreements, dissolution, contract negotiation,
drafting, interpretation, and breach of contract litigation;
non-disclosure agreements; human resources advice and preparation
of such documents as employment agreements, employee handbooks
and releases upon termination; corporate mergers and refinancing,
buy and sell agreements, and stock option plans; review of insurance
coverage issues, copyright and trademark applications, negotiation
of leases and lease terminations, and representing them as creditors
in bankruptcy matters. Basically, Ms. deMartino provides her
business clients who are too small for "in house" counsel,
with a similar resource. Her approach is to try to learn all
she can about a client's business and how it works, including
visiting and becoming familiar with their office procedures and
plant. This allows her to see issues which another attorney who
is unfamiliar with the client's business may not see. She will
work closely with your other professional advisors in the areas
of tax and insurance. In the estate
planning area, every
effort is made to tailor an estate plan to the individual, including
for example drafting revocable living trusts, irrevocable trusts
such as for charitable giving, education or special needs, wills,
and durable powers of attorney for financial management and health
care . She has handled many probate matters from simple to complex
estates, as well as will contests, and litigated trust and conservatorship
matters. Ms. deMartino has been practicing law since 1984. Her Long Beach office is conveniently located to serve the South Bay, Long Beach and North Orange County areas.
